SALES
TERMS AND CONDITIONS

General

  • 1. Minimum order:
    • $100.00. If ordering BOTOX® or BOTOX COSMETIC®, there is a minimum order requirement of 2 vials. If ordering Juvéderm®, there is a minimum order requirement of 2 boxes. This requirement applies to any combination of Allergan products including Pharmaceutical, Dermatology, and OTC products. Hospitals do not have a minimum dollar requirement.
    • For SkinMedica® line of products:
      • There is no minimum dollar amount per order; however, there is a 6-unit minimum per SKU with the exception of the products mentioned in paragraph (b)(ii) below.
      • There is a 12-unit minimum for the following products: Daily Physical Defense, Dermal Repair Cream, LYTERA™ Skin Brightening Complex, Retinol Complex .25, Retinol Complex 0.5, Retinol Complex 1.0, TNS ESSENTIAL SERUM™, TNS® Eye Repair, TNS® Illuminating Eye Cream, TNS RECOVERY COMPLEX™, and Vitamin C+E Complex.
      • Discounting SkinMedica® products below 5% of the manufacturer's suggested retail price is strictly prohibited.

Unauthorized Deductions

  • 2. Purchasers shall not take any deductions from Allergan invoices unless such deductions have been clearly authorized in writing in advance by Allergan. Any unauthorized deductions by customers shall be not valid and customers must pay the full invoiced amount consistent with the terms of the invoice.

Freight

  • 3. Allergan will determine the time, route and carrier for all shipments.
  • 4. All orders are shipped freight prepaid.
  • 5. All shipments (mail, express or freight) become the property of the Customer at the time the Customer signs the acceptance.

Terms

  • 6. 1%/15 days/Net 30, unless otherwise stated on invoice.
  • 7. The payment terms for Customers who elect to pay by credit card will be Net 30.

Applicable Sales Tax

  • 8. The total GST or HST, as the case may be, amount will be shown on invoices.
  • 9. Cash discounts for prompt payments are calculated on invoice values before GST or HST, as the case may be.
  • 10. Allergan’s GST/HST number is 100147180.

License Verification

  • 11. Allergan will verify the Customer’s appropriate license information to ensure that product is being sent to physicians with a valid license. For Wholesalers the Establishment License number will be verified.

Damages during Shipment

  • 12. If shipments arrive in a damaged condition or are lost, ensure the transportation company’s Agent notes the damage or loss on the invoice. Damaged product can be refused and full credit will be issued upon notification of the damage to Allergan within 3 business days of receipt. If there are hidden damages, please notify Allergan within 3 business days of receipt and return the products to Allergan within 20 business days of receipt for full credit.

Returns Policy

  • 14. All returns require a Return Material Authorization which must be obtained by contacting Allergan Customer Care.
  • 15. Credit will be allowed on unopened and undamaged packages at the price originally invoiced. Expired product will be credited at the actual purchase price less 15%. All BOTOX®, BOTOX COSMETIC®, Juvéderm®, Belkyra® and Latisse® are final sale.
  • 16. For NATRELLE® line of products, return value is based upon the specified time limit. No credit can be issued on opened or damaged product boxes. No Return Material Authorization is required. Full credit will be issued on products returned within 60 days after date of invoice. 85% credit will be issued on products returned 61 days to 6 months after date of invoice. No credit will be issued on products returned later than 6 months after date of invoice.
  • 17. For SkinMedica® line of products, returns must be made within 30 days of purchase.
  • 18. Allergan will not accept any returns for credit for the following conditions:
    • product that shows evidence of having been tampered with by removal of sealed box top, cap or label;
    • product which have been involved in a bankruptcy sale or damaged by fire, water or smoke;
    • product which is more than 9 months past the expiry date;
    • product marked “Professional Sample”, “Sample”, or “For Clinical Use Only”;
    • product that was damaged due to improper storage or exposure to extremes in temperature;
    • discounted product after 1 year of discontinuation;
    • product which was not purchased directly from Allergan Inc.;
    • product ordered in error and not reported within 7 days of receipt. This does not include BOTOX®, BOTOX COSMETIC®, Juvéderm®, Belkyra® and Latisse®; or
    • SkinMedica® product that has exceeded the expiry date.
  • 19. With the exception of SkinMedica® products, Wholesalers are authorized to return unsellable, unopened, and expired product.
  • 20. Subject to paragraphs 15 and 18(h) above, all returns must indicate the Customer account number, original PO and/or order number and details of products being returned. Include the original packing slip or have the Return Material Authorization number noted on the shipping container(s).

  • 21. Allergan will not pay shipping charges on any returned product, with the exception of SkinMedica® products and those under the Provisional Stock Program referred to in paragraph 29 below. Replacement product will be shipped prepaid.
  • 22. If pre-authorization is given for specific quantities and the amount returned differs from the pre-authorized amount, credit will be given to what is physically returned.
  • 23. Allergan Inc. reserves the right to destroy, without credit, any products which do not follow the Returns Policy.

Resale/Export

  • 24. Customer shall not:
    • export Allergan Product from Canada to any other country;
    • sell Allergan Product for export from Canada to any other country; or
    • sell Allergan Product for resale to any party who it knows, it reasonably suspects or it reasonable should know will
      • export Allergan Product from Canada to any other country, or
      • sell Allergan Product to any further party who the party knows, reasonably suspects or reasonably should know will export Allergan Product from Canada to any other country.
  • 25. Customer shall enter into a written agreement with any party to whom Customer sells Allergan Product for resale (Purchaser) and such written agreement shall include provisions notifying Purchaser of Customer’s obligations under these Terms and Conditions and provisions requiring that Purchaser shall comply with all the provisions of these Terms and Conditions as they pertain to Customer, as if Purchaser were Customer, thereby ensuring that any party who subsequently purchases Allergan Product (Subsequent Purchaser) from any party, including but not limited to Purchaser, shall comply with all provisions of this Agreement as it pertains to Customer, as if subsequent Purchaser were Customer.
  • 26. The sale of Allergan Product by Allergan Customer confers a license to Customer under any applicable Canadian intellectual property rights relating to said Allergan Product held by Allergan, only to sell said Allergan product only in Canada. This limited license will be transferred to any Purchaser and any Subsequent Purchaser upon purchase of said Allergan Product.
  • 27. Customer acknowledges that any license granted pursuant to paragraph 25 above is limited to Canada and that the export of Allergan Products to a country other than Canada contrary to paragraph 24 of these Terms and Conditions may result in the infringement of intellectual property rights recognized in that country and may result in the breach of the laws of said country relating to importation and dispensation of drug products. Customer further acknowledges that permitting in any way the export of Product to a country other than Canada contrary to paragraph 24 of these Terms and Conditions may constitute inducing, procuring and condoning infringement of intellectual property rights recognized in that country.
  • 28. The liability of Allergan Inc. under any order shall not, under any circumstances whatsoever, exceed the amount of the invoice price paid or payable thereunder for the products sold and delivered thereunder. Allergan Inc. shall not be liable for any indirect, consequential, special, incidental, exemplary or punitive damages or similar damages or losses of any nature whatsoever, including, without limitation, for any loss of clientele, sales or profits, regardless of whether arising from the breach of contract, warranty, tort, delict, quasi-delict, strict liability or otherwise, even if Allergan Inc. is advised of the possibility of such damage or loss or if such damage or loss could have been reasonably foreseen.
  • 29. The Provisional Stock Program (PSP) provides for a simple ordering process allowing for easy invoicing. Requests for breast implants and/or tissue expanders shall be made by the Customer no earlier than 14 calendar days or less but to a minimum of 1 day prior to an individual surgery. Upon receipt of such PSP request, Allergan will ship up to 12 implants and/or tissue expanders and within 25 calendar days following surgery, Customer shall return to Allergan all unused breast implants and/or tissue expanders. Upon receipt by Allergan of the unused and undamaged breast implants and/or tissue expanders or in the event that the unused breast implants and/or tissue expanders are not received by Allergan within 25 calendar days following surgery, Allergan will invoice the Customer for the used implants and/or tissue expanders or the total amount of implants and/or tissue expanders shipped to the Customer, as the case may be.
